If you are under 18, you confirm that a parent or legal guardian has reviewed these Terms and our Privacy Policy and consents to your use of the Service, and by accepting these Terms they are bound by them.

You must be competent to enter into a legally binding contract under Applicable Law. By accepting these Terms, you represent that you are of legal age and have the legal capacity to do so.

You may only use the Service in jurisdictions where such use is lawful. Access from jurisdictions where the Service or these Terms are illegal is strictly prohibited.

3. Registration & account

To access core features of the Service you must register an Account by providing accurate Registration Data. You agree to keep your Registration Data current and accurate at all times. Shutl bears no liability for issues arising from false, incomplete, or outdated information.

  • One account per person. You may register only one Account. Creating multiple accounts is not permitted. Your Account may not be transferred, assigned, or sold to any other person.
  • Security. You are solely responsible for maintaining the confidentiality of your login credentials and your device PIN. You are responsible for all activity that occurs through your Account. Notify us immediately at info@dsonix.com if you suspect any unauthorised use.
  • Account suspension. We reserve the right to suspend or permanently terminate your Account if we have reason to believe your Registration Data is false, your Account has been compromised, or you have breached these Terms.
  • Blocking your account. If you are unable to access your Account, write to us at info@dsonix.com requesting it to be blocked. We will not be liable for any unauthorised activity that occurs before the request is processed, and assume no liability in the event of a Force Majeure Event.

4. Services

Primary Services

Shutl's Primary Services include:

  • Match recording & live scoring — Create matches, record point-by-point scoring in real time (with offline capability), and maintain a permanent history of match results.
  • Player profiles & statistics — Track your win/loss record, win percentage, ranking points, streaks, and head-to-head stats against other players.
  • Team management — Create or join teams, manage rosters, and play team-based matches.
  • Tournament management — Organise knockout, league, hybrid, or Swiss-format tournaments; generate fixtures; record results; and publish live brackets.
  • Venue discovery & court booking — Browse nearby venues, check real-time court availability, and book court slots directly through the Service.

Secondary Services

Shutl's Secondary Services include:

  • Match Wall — Post or discover Open Matches; request to join a game; chat with participants; find playing partners near you.
  • Player & venue discovery — Search for nearby players based on skill level and availability, or find courts close to your location.
  • Leaderboard — View regional or global rankings based on competitive match data recorded on the platform.

By using the Service you agree that you will:

  • Use the Service solely for your own personal, non-commercial use and not resell or assign access to any third party.
  • Comply with all Applicable Laws, including the Information Technology Act, 2000 and all rules notified thereunder.
  • Not attempt to harm, disrupt, or interfere with the Service or Shutl's infrastructure in any way.
  • Keep your device and Account secure and promptly notify us of any security breach.
  • Not use the Service for any illegal, obscene, defamatory, threatening, harassing, or hateful purpose, or to facilitate any activity that endangers others.
  • Not use automated tools (bots, scrapers, crawlers) to access the Service without our prior written permission.
  • Not impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Fair play is fundamental. Submitting false match results, fabricating tournament fixtures, or manipulating statistics undermines the integrity of the Service and may result in immediate account suspension or permanent termination.

We reserve the right to notify you of promotions, new features, and Service-related updates by push notification, SMS, or email to your registered contact details. You may opt out of promotional communications at any time by writing to info@dsonix.com. Transactional messages (booking confirmations, OTPs, account notices) cannot be opted out of while you hold an active Account.

5. Court booking & reservations

Where the Service enables you to book a court at a Venue Partner, the booking process works as follows:

  1. You select a venue, court, date, and available time slot through the Service.
  2. You confirm the Booking and pay the applicable Booking Fee (see Section 6 below).
  3. You will receive a booking confirmation via the app and/or by SMS or email.
  4. Please check all confirmation details promptly. If any details are incorrect, notify us immediately at info@dsonix.com.

Shutl acts as a technology platform that facilitates bookings between you and Venue Partners. While we display venue information, we do not own or operate the venues listed. Availability, pricing, and specific conditions are set by the Venue Partner and may change at any time.

Shutl reserves the right to decline or cancel any Booking for any reason, including but not limited to suspected fraudulent activity, unavailability of the court, or technical errors. In the event Shutl cancels a booking, you will receive a full refund of the Booking Fee paid.

A Venue Pass (prepaid access to a specific venue's courts for a defined period) may be offered through the Service by certain Venue Partners. Access under a Venue Pass is subject to the availability of courts on a first-come, first-served basis. All conditions (including cancellation and refund terms) specific to a Venue Pass will be displayed on the Service at the time of purchase.

6. Payment

All Booking Fees, Convenience Fees (if any), and other charges are displayed on the Service before you confirm a Booking. Prices are inclusive of any indicated taxes unless otherwise stated. Shutl reserves the right to amend pricing at any time; changes will be reflected on the Service before they apply to new bookings.

Payments may be made through:

  • UPI / Net banking / Credit or debit card — processed through a PCI-DSS–compliant third-party payment gateway authorised by Shutl.
  • Cash to venue — where a Venue Partner permits cash payment directly at the facility.

By providing payment details, you authorise the payment processor to debit the amount shown for the transaction. Shutl is not responsible for errors by the payment processor. All applicable taxes on the Booking Fee are your responsibility.

Shutl is not liable for failed transactions arising from: (a) insufficient funds; (b) incorrect payment details; (c) an expired card; or (d) circumstances beyond our control such as bank outages or network interruptions.

Split payment: Where the Service offers the option to split a Booking Fee among multiple players, each participant must have a registered Shutl Account before making their contribution. If any participant fails to complete their share of the payment, the booking may be cancelled and a refund issued in accordance with Section 7.

7. Cancellation & refund policy

Cancellation and refund terms for court bookings are set by each individual Venue Partner and will be displayed on the Service at the time of booking. It is your responsibility to review the applicable policy before confirming a Booking.

As a general rule applicable to all bookings made through Shutl:

  • Cancellations made more than 24 hours before the booked slot — a full refund of the Booking Fee will be processed (net of any bank or payment gateway charges, typically 2–3%), subject to the Venue Partner's own policy.
  • Cancellations made within 24 hours of the booked slot — refund (if any) is subject solely to the Venue Partner's policy, which may be non-refundable.
  • No-shows — Booking Fees are non-refundable.

If a Venue Partner cancels or reschedules your Booking, Shutl will facilitate a refund of the Booking Fee in full, or a credit redeemable for future bookings at the same venue, in accordance with the Venue Partner's cancellation policy and within 7–10 working days.

Refunds for failed online transactions will be processed within 7–10 working days from the date of the failure, subject to confirmation from the payment processor.

Shutl does not set refund policies on behalf of Venue Partners. All refund disputes related to venue-specific bookings must be raised directly with the Venue Partner. Shutl will endeavour to assist in resolving disputes on a best-effort basis but assumes no liability for refund claims against Venue Partners.

Shutl reserves the right to modify this cancellation and refund policy at any time, with notice provided on the Service before any change takes effect.

8. Content you create

"Your Content" means anything you submit to the Service — your name, profile photo, team name and logo, tournament banner, match notes, comments, avatars, and any other material you upload or share. You retain ownership of Your Content.

By submitting content to the Service, you grant Shutl a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, display, and distribute Your Content solely for the purposes of operating and improving the Service (for example: displaying your team logo on a tournament bracket, showing your profile photo to players you have connected with, or featuring match results on public leaderboards).

You confirm that: (a) you own or have the legal right to share all content you upload; (b) Your Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) Your Content complies with Applicable Law.

We may remove or disable access to any content that violates these Terms, without prior notice. You may request removal of Your Content at any time by contacting us at info@dsonix.com.

Prohibited content

You must not post or share content that:

  • Is unlawful, defamatory, obscene, hateful, threatening, or harassing.
  • Infringes another person's intellectual property, privacy, or other rights.
  • Contains viruses, malware, or any code designed to disrupt or damage the Service.
  • Is misleading, deceptive, or misrepresents your identity or affiliation.
  • Promotes gambling, unlawful activity, or violence.
  • Collects personal data about others without their consent.
  • Violates any provision of the Information Technology Act, 2000 or any other Applicable Law.

9. Match data & scores

Match results and statistics shown on the Service are entered by users — typically the match creator or tournament organiser. Shutl is a tool for recording and presenting this information and does not independently verify the accuracy of any match result.

Disputes about scores should be resolved between the players involved. Where a match is part of a Tournament, the tournament organiser's decision on the result is final. Shutl assumes no liability for incorrect, incomplete, or disputed match data entered by users.

Integrity notice. Deliberately entering false match results or manipulating statistics is a breach of these Terms and may result in immediate account suspension or permanent removal from the platform.

10. Intellectual property

Shutl (and its licensors, where applicable) owns all right, title, and interest in:

  • The Shutl name, logo, brand assets, tagline, and all related trademarks.
  • The app design, user interface, source code, algorithms, and all software comprising the Service.
  • All original text, graphics, sounds, videos, and other materials created by Shutl on the Service.

Nothing in these Terms transfers any ownership of Shutl's intellectual property to you. You may not use the Shutl name, logo, or any other brand asset without our prior written permission, except as necessary to use the Service as intended.

Third-party trademarks and intellectual property appearing on the Service remain the property of their respective owners. For permission to use any third-party intellectual property, you must contact the relevant owner directly.

You may use content that Shutl makes available for download (such as tournament fixtures or match summaries) for personal, non-commercial purposes only, provided you do not remove any proprietary notices and do not redistribute or republish the content without permission.

11. Community & Match Wall

The Match Wall allows Customers to post Open Matches, invite others to join games, and communicate via the in-app chat. Shutl facilitates this feature but is not responsible for the quality, safety, or conduct of any game organised through the Match Wall. Participation in games found through the Match Wall is entirely at your own risk.

Shutl is not responsible for the availability of venues, weather, injuries, or any other circumstances relating to games arranged through the Match Wall. You are solely responsible for assessing the suitability of any game before participating.

Chat messages and content shared through the Match Wall are subject to Section 8 (Content you create) of these Terms. Do not use the chat to share illegal content, harass other players, or solicit payments outside the Service.

Open Match chat is accessible only to the host and players whose join request has been accepted by the host. Posting false information about a game (e.g. incorrect venue, fabricated skill level requirements) may result in account suspension.

12. Application licence

Subject to your compliance with these Terms, Shutl grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to download and install the Shutl application on a device you own or control, and to use it solely for your personal, non-commercial purposes.

You must not:

  • Licence, sublicence, sell, resell, transfer, assign, or commercially exploit the Service or the app in any way.
  • Modify, make derivative works of, or reverse-engineer any part of the Service except where Applicable Law expressly permits it.
  • Create internet links to, frame, or mirror any part of the Service on another server or device without our written consent.
  • Access the Service to build a competing product or service, or copy the ideas, features, or design of the Service.
  • Use automated scripts, bots, spiders, or other tools to access or interact with the Service without our prior written consent.
  • Send spam or bulk unsolicited messages through the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorised access to the Service or its related systems or networks.

Shutl may investigate and prosecute violations of these Terms to the fullest extent of the law, and may cooperate with law-enforcement authorities. We reserve the right to remove or disable access to any content or account at any time if we believe it violates these Terms.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Shutl does not guarantee that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. We do not guarantee the accuracy or completeness of any information displayed on the Service, including match results, player statistics, venue details, court availability, or pricing.

Shutl does not own or operate any of the sports venues or courts listed on the Service. We make no representation that the venues, courts, or services provided by Venue Partners are safe, fit for purpose, or suitable for your needs. Your use of any venue facilitated through the Service is at your own risk.

Sports activities by their nature carry inherent risks, including physical injury. By using the Service to participate in sporting activities, you acknowledge and voluntarily assume these risks, and you release Shutl and its Venue Partners from any liability arising from your participation.

You agree to maintain appropriate conduct at all venues and not to engage in behaviour that is illegal, unsafe, or disruptive to other participants. You are solely responsible for your conduct at any venue or sporting event facilitated through the Service.

14. Limitation of liability

To the maximum extent permitted by Applicable Law, Shutl and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, goodwill, or other intangible losses — arising out of or relating to your use of the Service, even if Shutl has been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service will not exceed the greater of: (a) the total Booking Fees paid by you to Shutl in the twelve months immediately preceding the event giving rise to the claim; or (b) ₹1,000 (Indian Rupees one thousand).

Shutl is not responsible for any loss of communications, status updates, or programme benefits caused by errors in contact information you have provided. You are responsible for promptly reporting any errors in booking confirmations or other notifications.

Some jurisdictions do not allow certain limitations or exclusions of liability. In such cases, the limitations above apply only to the fullest extent permitted by local Applicable Law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Shutl and its officers, directors, employees, affiliates, licensors, and agents (the "Shutl Parties") from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your violation or breach of any provision of these Terms or Applicable Law.
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.
  • Your use or misuse of the Service.
  • Any inaccurate or misleading information or data you provide to us.
  • Any content you submit to or through the Service, including any claim that such content infringes or violates third-party rights.
  • Your participation in any sporting activity, event, or game arranged through or facilitated by the Service.
  • Your conduct at any venue or sporting event.

16. Force majeure

Shutl shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay is caused by a Force Majeure Event, including (without limitation) natural disasters, pandemics, acts of government, power failures, internet or network outages, or any other cause beyond our reasonable control. Our obligations will be suspended for the duration of the Force Majeure Event.

17. Termination

These Terms remain in effect for as long as you hold an Account or use the Service.

By you: You may stop using the Service and delete your Account at any time from within the app. Deletion terminates these Terms except for provisions that by their nature survive termination.

By Shutl: We may suspend or permanently terminate your Account and access to the Service with or without notice if you: (a) violate or breach these Terms; (b) engage in fraudulent, abusive, or harmful conduct; (c) submit false match data or manipulate statistics; (d) create multiple accounts; or (e) if we are required to do so by Applicable Law or a governmental authority.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive (including Sections 10, 13, 14, 15, and 18) will continue to apply after termination.

18. Governing law & dispute resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.

Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally between us shall be subject to the exclusive jurisdiction of the courts located in India. You agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such dispute.

Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute by contacting Shutl at info@dsonix.com. We will endeavour to respond within 7 working days of receiving your notice.

19. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you through the app or by email or SMS to your registered contact details before the change takes effect. What constitutes a material change is determined by Shutl in good faith.

Your continued use of the Service after updated Terms have taken effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your Account.

20. Contact & grievance redressal

All issues, complaints, feedback, and questions relating to the Service should be directed to our support team:

  • Email: info@dsonix.com
  • In-app: Sidebar menu → Help & Feedback

We endeavour to acknowledge your query within 2 working days and resolve it within 7 working days. Complex issues may take longer; we will keep you updated on progress.

Issues should be reported within 7 days of the event giving rise to the complaint. Issues reported after this period may not be addressed. You agree to be fair and accurate in all feedback and reviews submitted about the Service.

Any refund disputes relating to Venue Partner bookings should be raised first with the relevant Venue Partner. Shutl will assist on a best-effort basis but does not assume liability for refund claims against Venue Partners.
